Terms and Conditions
1. Definitions
1.1. Agreement: These Terms and Conditions, as well as the Proposal (signed or unsigned), or verbal, written or email instructions to commence work.
1.2. Web Altitude: is the provider and supplier of web solutions and services.
1.3. Purchaser: The company, person or entity purchasing these services as listed in the agreement and signature page of the Proposal.
1.4. Payment: Any or all monies payable by the Purchaser to Web Altitude for the Service to be performed.
1.5. Proposal: Any document created by Web Altitude that contains an offer to do work including an overview of the work and the prices for such work.
1.6. Service: Website development, Design work, Consulting, Marketing, Materials, Advice and Consulting, Search Engine Optimisation, Hosting, Domain registration or any other service or product provision by Web Altitude .
2. Property ownership
2.1 The ownership of the site or service passes to the purchaser upon the clearance of full payment - until that time the site or service is the property of Web Altitude.
Web Altitude reserves its rights to remove or take down the site or service at any time if not paid in full.
2.2 If the purchasers property is passed to Web Altitude then all reasonable care will be taken to prevent loss or damage, however this still will be held at the risk of the Customer.
3. Payment
3.1. Upon agreement by both Web Altitude and the Purchaser, then the Purchaser must guarantee full Payment for the work outlined in the Proposal.
3.2. Ownership of the Services or any work done only passes to the Purchaser when the final Payment has been received in full by Web Altitude.
3.3. In the event of non-payment of any monies from the Purchaser to Web Altitude, Web Altitude reserves the right to take down the website and any other services from the Purchaser until such time as the monies are repaid. The Purchaser acknowledges that it cannot challenge this and Web Altitude is not liable for any losses while the website is offline.
3.4. In the event of Domain registrations or other service lapses due to non-payment, the Purchaser is liable if applicable for any costs in re-registering those services. Also the Purchaser is liable for all costs to get the website operational again after being taken down, and indemnifies Web Altitude against any costs or losses due to this non paying event.
3.5. In the event of the Purchaser deciding not to proceed with a Service after deposit payment by the Purchaser has been made, then deposit can only become a credit that can be used for future work requested. a refund will be possible only if work has not commencedthe deposit is transfered to a credit on their account for use on another project. If you do not want to proceed you must request so in writing either by postal mail or via email.
3.5. For additional Payment terms if any, then please refer to Payment Schedule.
3.6.Work produced at Initial Stages, at Purchasers request will be charged for unless otherwise agreed in writing. If the Purchaser wishes to terminate a work order or service at the Initial Stage, then a termination invoice will be drawn up charging for time and materials used up to this temination point.
3.7. A Project that is Postponed or Cancelled after more than 50% completion by anyone other than Web Altitude, then the balance of works will be invoiced and then completed at the customers continuation date. If the project is cancelled before 50% completion then a refund will be issued minus charges accumulated by Web Altitude or any 3rd party costs that Web Altitude occurred during the project. These prices will be calculated at Web Altitude’s based on the hours already spent including any 3rd party costs if applicable. Percentage of works completed will be calculated on current hours spent minus current hours quoted.
3.8. Setup costs are not refundable.
3.9 All payments must be made before the invoice due date, unless agreed otherwise.
4. Purchaser Insolvency / Debt collection
4.1 In the event of the following, then Web Altitude shall will be entitled to cancel any contract between itself and the Purchaser or suspend any further deliveries of goods or the provision of any further services under any such contract without any liability to the Purchaser and if any goods or services have been delivered or supplied but not paid for, the price of such goods and services shall become immediately due and payable:
(a) the Purchaser becomes apparently insolvent ( within the meaning of the Bankruptcy)
(b) a petition is presented or a resolution is passed to wind up the Purchaser
(c) a receiver is appointed over the whole or any part of the assets of the Purchaser or an administration order is made in respect of the Purchaser
(d) the Customer shall otherwise cease trading
(e) any diligence, distress, execution or other process is levied or enforced against any property of the Purchaser
4.2. If any costs are incurred by Web Altitude to collect outstanding Payment the Purchaser indemnifies Web Altitude from those costs such as Legal expenses and any Debt collection fees.
5. Estimates and Quotes
5.1 Web Altitude will provide an estimated price of the Services to be rendered. An Estimate can be prepared once a full brief is drawn up and supplied by the Purchaser to Web Altitude.
6. Copyright
6.1. All copyright and other intellectual property rights in any work created, commissioned or otherwise acquired by Web Altitude in implementation of any contract between Web Altitude and the Purchase shall remain with Web Altitude until full payment has been received.
7. Search Engines
7.1. Specific position in the search engine results (SERPS) is not guaranteed. We will make every attempt to obtain a Top Ranking for your keyword phrase or phrases, but will not liable for circumstances that could prevent us or beyond our control. Such as changes in policies of the search engines involved, or any other anomalies that are out of our control.
7.2. We will not index sites that promote hate or discrimination based on race, religion, sex, age, sexual orientation. And we reserve the right to refuse to promote any site we deem as unacceptable for any reason.
7.3 The code we actually use to index your page with the search engines is proprietary even though it is based on your original pages. This information may not be sold, used, or transferred to another website without our written permission.
